Benjamin Strauss is a partner in the Commercial Department of Pepper Hamilton LLP, resident in the Wilmington office. He concentrates his practice on counseling private and publicly held companies on mergers, acquisitions and general corporate, securities and business law matters, and he heads the firm’s Delaware corporate and Israeli practices.
Mr. Strauss serves as general U.S. counsel to many foreign companies doing business in the United States, including publicly traded and multinational companies, as well as numerous high-tech start-ups. He also frequently serves as special Delaware counsel in connection with private placements and public offerings involving Delaware corporations, limited liability companies and business trusts, and has lectured both in the United States and overseas on Delaware legal entities.
Engagements representative of his practice include serving as:
- U.S. counsel in IPOs of Delaware corporations traded on a foreign exchange
- corporate counsel in connection with SEC registrations for public offerings by foreign-based Delaware corporations
- U.S. corporate counsel in hundreds of private placements by foreign-based Delaware corporations.
Mr. Strauss is former president of the Delaware State Bar Association (2009 – 2010) and a member of the Delaware Supreme Court’s Permanent Advisory Committee on Rules of Professional Conduct.
Mr. Strauss is admitted to practice in Delaware, Pennsylvania, New Jersey and New York, and before the United States Supreme Court.
